  • Fraud by third parties;
  • Custodian actions;

You acknowledge that forms and templates may require customization, legal review, tax review, or additional documentation.

07. Payments, Fees, Renewals, and Billing

You agree to pay all applicable:

  • Service fees;
  • Course fees;
  • Renewal fees;
  • Annual license fees;
  • Statutory agent fees;
  • Subscription fees;
  • Processing fees;
  • Administrative fees;
  • Taxes; and
  • Other charges.

Fees may increase at any time upon notice or posting.

Certain services may automatically renew annually or periodically unless canceled according to applicable terms.

You authorize us and our payment processors to charge payment methods you provide for applicable charges.

Payments may be processed by third-party payment processors, including Square or other providers.

Unless otherwise stated in writing:

  • Fees are non-refundable;
  • Partial refunds are not guaranteed;
  • Chargebacks may result in suspension or termination of services;
  • We may suspend services for nonpayment.

You remain responsible for fees incurred before cancellation or termination.

We may work with or refer you to attorneys, CPAs, custodians, banks, trustees, payment processors, software providers, compliance providers, statutory agents, or other third parties.

We are not responsible for:

  • Third-party services;
  • Third-party errors;
  • Third-party advice;
  • Third-party compliance;
  • Third-party software;
  • Third-party delays;
  • Third-party outages;
  • Third-party security;
  • Third-party fraud;
  • Third-party misconduct; or
  • Actions or omissions of third parties.

Your use of third-party services is subject to their own terms and policies.

09. Electronic Communications and Signatures

By using our services, you consent to receive electronic communications, disclosures, notices, invoices, agreements, forms, and records.

You agree that electronic communications and signatures may satisfy legal requirements for written communications and signatures to the fullest extent permitted by law.

10. Privacy

11. Intellectual Property

WE DO NOT WARRANT THAT:

  • SERVICES WILL BE AVAILABLE AT ALL TIMES;
  • DEFECTS WILL BE CORRECTED;
  • SYSTEMS ARE FREE OF VIRUSES OR HARMFUL COMPONENTS;
  • INFORMATION WILL ALWAYS BE CURRENT OR ACCURATE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TAX ACADEMY AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, ATTORNEYS, AGENTS, AFFILIATES, LICENSORS, VENDORS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR:

  • INCIDENTAL DAMAGES;
  • SPECIAL DAMAGES;
  • CONSEQUENTIAL DAMAGES;
  • EXEMPLARY DAMAGES;

  • LOST TAX BENEFITS;
  • LOST INVESTMENTS;

  • SECURITY BREACHES;
  • ACCOUNT ACCESS ISSUES;
  • PLAN DISQUALIFICATION;
  • TAXES;
  • PENALTIES;
  • AUDITS;
  • INVESTMENT LOSSES;
  • PROHIBITED TRANSACTIONS;
  • THIRD-PARTY MISCONDUCT;
  • COMPLIANCE FAILURES; or
  • OTHER DAMAGES ARISING FROM OR RELATED TO THE WEBSITE OR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM; OR
  2. ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so portions of this section may not apply.

17. Compliance and Regulatory Matters

You acknowledge that retirement plans, self-directed investments, IRA transactions, 401(k) plans, tax reporting, prohibited transaction rules, ERISA matters, banking regulations, securities laws, and related matters may involve significant legal and tax obligations.

You are solely responsible for ensuring compliance with all applicable laws, rules, regulations, reporting obligations, and fiduciary duties.

We are not responsible for monitoring your compliance obligations.

18. Force Majeure

We are not liable for delays, interruptions, failures, or damages caused by events beyond our reasonable control, including:

  • Natural disasters;
  • Cyberattacks;
  • Internet outages;
  • Utility failures;
  • Pandemics;
  • Labor disputes;
  • Government actions;
  • Vendor failures;
  • Banking interruptions;
  • Software outages;
  • Hosting failures; or
  • Other force majeure events.

19. Suspension and Termination

You waive any right to:

Arbitration shall be conducted in Arizona unless otherwise required by law.
